Cognilyx provides AI-powered lead generation and digital advertising services to businesses. Our platform identifies, qualifies, and delivers potential customers based on your specified criteria. Services include but are not limited to:

• Analytics and performance reporting

3. User Accounts and Registration

To access our services, you must complete our qualification process and be approved by our team. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Pricing and Payment Terms

Our services are priced on a per-qualified-lead basis as outlined on our pricing page. Payment terms are as follows:

• Payment is due upon delivery of qualified leads
• All prices are in USD and exclude applicable taxes
• We reserve the right to modify pricing with 30 days notice
• Refunds are available for leads that do not meet agreed qualification criteria

5. Lead Quality Guarantee

We guarantee that all delivered leads meet the qualification criteria agreed upon during setup. If a lead does not meet these standards, we will provide a replacement lead at no additional cost or issue a full refund for that lead.

6. Data Privacy and Protection

We are committed to protecting your privacy and the privacy of the leads we generate. All data is handled in accordance with our Privacy Policy and applicable data protection laws including GDPR and CCPA.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Cognilyx and its licensors. The Service is protected by copyright, trademark, and other laws.

8. Prohibited Uses

You may not use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To spam or send unsolicited communications to leads

9. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service with reasonable notice.

10. Limitation of Liability

In no event shall Cognilyx, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

12. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these terms will be resolved in the courts of El Paso County, Texas.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
